The User represents that all obligations under this Agreement are legal, valid, binding, and enforceable. The User confirms there are no pending proceedings that would materially affect their obligations under this Agreement.

The User agrees to comply with all applicable laws, including tax and intellectual property laws, and confirms that they possess the necessary rights to enter into this Agreement without infringing third-party rights.

INTELLECTUAL PROPERTY RIGHTS

The User authorizes the Company to use trademarks, logos, and intellectual property for Platform-related purposes. Each party retains ownership of its respective intellectual property.

All content on KeaneAdvisors.AI is owned by the Company or its licensors and is protected by applicable intellectual property laws. No license is granted except as expressly provided.

DATA

“Data” includes identifiable information collected or generated through use of KeaneAdvisors.AI. The User agrees to use Data only as necessary to fulfill obligations under this Agreement and not to disclose it to third parties.

By submitting content, the User grants the Company a perpetual, royalty-free right to use such content and waives any moral rights claims.

RELATIONSHIP

Nothing in this Agreement creates a partnership, agency, joint venture, or employment relationship between the parties.

INDEMNITY

The User agrees to indemnify and hold harmless the Company from all claims, damages, or losses arising from the User’s breach of this Agreement or violation of law.

EXPRESS RELEASE

You release the Company and its affiliates from all claims arising from your use of KeaneAdvisors.AI and assume the risk of unknown or unforeseen facts.

LIMITATION OF LIABILITY

The Company shall not be liable for any losses or damages arising from use of the Platform, including indirect, incidental, or consequential damages, except where caused deliberately by the Company.

TERMINATION

This Agreement may be terminated for material breach or without cause upon thirty (30) days’ written notice.

EFFECTS OF TERMINATION

Upon termination, Services will cease immediately. Obligations incurred prior to termination shall survive.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of South Carolina. The User submits to the exclusive jurisdiction of the applicable courts.

DISCLAIMER

The Website and Services provided via KeaneAdvisors.AI are provided “as is.” The Company disclaims all warranties and assumes no responsibility for errors, interruptions, or unauthorized access.

NOTICES

Notices shall be provided via email or mail to the addresses specified by each party and are effective upon receipt.

AMENDMENT

The Company may modify this Agreement at any time. Continued use of KeaneAdvisors.AI constitutes acceptance of updated Terms.

FORCE MAJEURE

Neither party shall be liable for delays or failures caused by events beyond reasonable control.
